Terms of Service
These Terms of Service ("Terms") govern your access to and use of Hemlis, a sophisticated vector database software service, and related documentation provided by Aieo AB, a Swedish corporation ("Company", "we", "us", or "our"). By subscribing to or using our service, you agree to be bound by these Terms.
1. Service Description
Hemlis is a cloud-based vector database service that provides advanced vector storage, search, and retrieval capabilities. The service utilizes innovative algorithms and sophisticated data structures to deliver high-performance vector operations for machine learning and artificial intelligence applications.
2. Subscription Terms
2.1 Service Access: Hemlis is provided as a Software-as-a-Service (SaaS) subscription. Access is granted upon successful payment processing through Paddle.com Market Limited ("Paddle"), our authorized Merchant of Record.
2.2 Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless canceled prior to renewal. You will be charged the then-current subscription rate.
2.3 Plan Limitations: Your usage is subject to the limits specified in your chosen subscription plan, including but not limited to API calls, vector storage, and performance specifications.
3. End User License Agreement (EULA)
3.1 License Grant: Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use Hemlis solely for your internal business purposes during the subscription term.
3.2 License Restrictions: You may not: (a) reverse engineer, decompile, or disassemble the service; (b) attempt to circumvent usage limitations; (c) share your account credentials; (d) use the service for illegal purposes; or (e) interfere with the service's operation.
3.3 Intellectual Property: All rights, title, and interest in Hemlis, including all underlying technology, algorithms, and intellectual property, remain exclusively with the Company.
4. Account Responsibilities
4.1 Account Security: You are solely responsible for maintaining the confidentiality of your account credentials, API keys, and any activities that occur under your account.
4.2 Data Responsibility: You are responsible for all data you store, process, or transmit through Hemlis, including ensuring you have the right to use such data.
4.3 Compliance: You must comply with all applicable laws and regulations in your use of the service.
5. Payment Terms
5.1 Billing: All payments are processed by Paddle as our Merchant of Record. Billing terms are subject to Paddle's payment terms and conditions.
5.2 Taxes: You are responsible for any applicable taxes related to your subscription.
5.3 Overages: Usage exceeding your plan limits may result in additional charges or service limitations.
6. Service Availability and Support
6.1 Availability: While we strive for high availability, we do not guarantee uninterrupted service access. Scheduled maintenance will be announced in advance when possible.
6.2 Support: Support is provided according to your subscription tier as described in our service documentation.
7. Data and Privacy
7.1 Data Processing: Our handling of personal data is governed by our Privacy Policy, which is incorporated by reference into these Terms.
7.2 Data Security: We implement industry-standard security measures, but you acknowledge that no system is completely secure.
7.3 Data Retention: We may retain your data as necessary to provide the service and as required by law.
8. Limitation of Liability and Disclaimers
8.1 NO WARRANTY: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8.2 LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION, REGARDLESS OF THE THEORY OF LIABILITY.
8.3 LIABILITY CAP: OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its affiliates from any claims, damages, losses, or expenses arising from your use of the service, violation of these Terms, or infringement of third-party rights.
10. Termination
10.1 Termination Rights: Either party may terminate the subscription at any time. We may suspend or terminate your access immediately for violation of these Terms.
10.2 Effect of Termination: Upon termination, your right to access the service ceases immediately, and we may delete your data according to our data retention policies.
11. Refunds and Cancellations
Refund requests are processed by Paddle in accordance with their refund policy. For refund inquiries, please contact Paddle support or our customer service team. Refunds, if approved, are subject to Paddle's processing procedures.
12. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated through your registered email address or service notifications. Continued use after changes constitutes acceptance of the modified Terms.
13. Governing Law and Dispute Resolution
13.1 Governing Law: These Terms are governed by Swedish law, without regard to conflict of law principles.
13.2 Jurisdiction: Any disputes arising from these Terms shall be resolved in the courts of Stockholm, Sweden.
13.3 Limitation Period: Any claims must be brought within one (1) year of the cause of action arising.
14. Miscellaneous
14.1 Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company.
14.2 Severability: If any provision is found unenforceable, the remaining provisions will continue in full force.
14.3 Assignment: You may not assign these Terms without our written consent. We may assign these Terms without restriction.
